Corporate status verification

Delaware will not issue a certificate for an entity that is out of good standing, and nothing about that is visible from the outside until someone checks. Corporations owing $5,000 or more in franchise tax pay in installments through the year, and a single missed installment is enough to stop an order at the counter.

So before we process a corporate order we retrieve the entity’s detailed Delaware status, including the franchise tax assessment, and review it. That is the $49 above, charged per entity. It is what stops a runner driving to Dover for a certificate the state was never going to issue.

  • Verification runs first. No corporate Certificate of Good Standing or corporate apostille order enters processing until verification has been ordered and reviewed.
  • A failed check pauses the order, it does not cancel it. You can pay the franchise tax, file the report or resolve the status condition, and processing resumes. Nothing is forfeited by the pause itself.
  • Rush orders get no spend until the check clears. No courier goes to Dover and no expedited state fee is paid until verification is clear, unless you authorise proceeding despite a known status risk in writing.
  • Expedited state fees are separate. Delaware charges $1,000 for Priority 1 one-hour service and $500 for Priority 2 two-hour service, per document. Ordinary same-day and 24-hour expediting costs far less and varies by filing type. All of it is quoted separately from our fees and is not refundable once the state has been paid.
  • Delaware certificate fees are separate too. The state charges $50 for a short form certificate and $175 for a long form, which lists officers and filing history. These are pass-through and are added to your tier fee.

WHAT YOU ARE AGREEING TO

Customer is responsible for ensuring the entity is eligible for the requested certificate and that all required Delaware filings, taxes, fees, and other obligations are current. Government rejection resulting from the entity’s status, outstanding obligations, inaccurate information, or other customer-controlled conditions does not constitute nonperformance by the service provider and does not make completed coordination, courier, rush, or government-processing services refundable.

Already trusting us with your corporate documents?

We can be your registered agent as well, which means the good standing check, the annual report, the franchise tax and the apostille all sit with one office instead of four. Switching is a single filing and you do not need to notify your current agent first.

Verify your certificate with the State

You do not have to take our word for it. Delaware lets you check a certificate it issued directly with the Division of Corporations.

Validate a Certificate — Delaware Division of Corporationsicis.corp.delaware.gov · opens in a new tab

You will need two numbers, both printed on the certificate itself: the entity file number and the authentication number.

Two limits worth knowing before you try it:

  • It covers certificates the Division issues on business entities — Certificates of Good Standing, certified charter documents, and the authentications placed on them. Personal records such as birth certificates are issued by a different office and are not in this system.
  • You can only validate within one year of the date the certificate was issued.

If your certificate looks plain, that is correct

Since 1 July 2006 Delaware has printed every certificate in black ink on standard white paper, with the Secretary’s seal and signature included in the print. The old blue preprinted forms are gone. Clients regularly call us worried that a plain black-and-white certificate is a photocopy. It is not — and this is the page that proves it.
