Your Delaware registered agent, three miles from the Division.

A staffed Dover office that actually receives your service of process, scans it the same business day, and knows what the March and June deadlines do to an entity that misses them.

What a registered agent is actually required to do

Every entity formed or registered in Delaware must keep a registered agent with a physical Delaware address. The role is not a mailbox. Delaware law sets out what the agent has to do, and an agent who does not do it can be taken to court by the Secretary of State.

  • Keep an office that is genuinely open. Open often enough to accept service of process in person. Ours is staffed at 846 Walker Road in Dover.
  • Accept service of process and forward it. If your company is sued, the papers come to us. What happens in the next few hours decides whether you get to respond in time.
  • Forward the state annual report notice. A statutory duty under 8 Del. C. section 502 and the equivalent provisions for LLCs and partnerships.
  • Keep a communications contact on file. Delaware requires the name, business address and business telephone number of a named natural person for every entity represented. Not a company name. A person.

Appoint us as your agent

Already our client? Your filing catalogue

Once we are your registered agent, every Delaware filing your entity is likely to need sits in one place, priced and ready to order: amendments, annual reports, certificates of incumbency, reinstatements, mergers, conversions, name reservations, certified copies and good standing certificates.

You need to be signed in to your account to open it. That is deliberate — it keeps client pricing private, and it means every order arrives already attached to the right entity, so we know what we are filing and for whom without a single email.

Why the cheapest agent is rarely the cheapest outcome

A registered agent at thirty-nine dollars a year is selling you an address. The economics only work at volume, which means scanning limits, a queue, and nobody who knows your entity.

The cost of that shows up in one place. Miss the annual report and Delaware adds a $200 penalty plus 1.5% interest a month, and the entity stops being in good standing. That is the moment a financing round, a property sale or an apostille order stops dead, and we see it regularly enough that we built a paid verification step around it.

The other place it shows up is the franchise tax calculation. A corporation can be quoted a figure under one method and a far smaller one under the other. Working out which applies is the whole job, and it is not something a mailbox does for you.

The dates that matter

EntityDueWhat Delaware charges
Corporation1 March$50 annual report fee, plus franchise tax from $175 under the authorised shares method or $400 under assumed par value
LLC, LP or general partnership1 June$400 annual tax. No annual report is filed
Corporations owing $5,000 or moreQuarterly40% by 1 June, 20% by 1 September, 20% by 1 December, the balance by 1 March
Missed either deadlinePenalty$200 plus 1.5% interest per month, and the entity falls out of good standing

The LLC annual tax rose to $400 for the 2026 tax year. If you budgeted $300 because that is what it has always been, that gap is worth checking before June.

Changing agent is straightforward

You are not locked in. Changing the registered agent on a Delaware entity is a filing with the Division of Corporations, and we prepare it for you as part of coming across. There is no need to wait for a renewal date and no need to tell your current agent first.

Send us the entity name and the Delaware file number if you have it. We will confirm the entity is in good standing before anything is filed, because a change filed against an entity that is behind on tax simply gets rejected.

Verify a certificate we obtain for you

You do not have to take our word for it. Delaware lets you check a certificate it issued directly with the Division of Corporations.

Validate a Certificate — Delaware Division of Corporationsicis.corp.delaware.gov · opens in a new tab

You will need two numbers, both printed on the certificate itself: the entity file number and the authentication number.

Two limits worth knowing before you try it:

  • It covers certificates the Division issues on business entities — Certificates of Good Standing, certified charter documents, and the authentications placed on them. Personal records such as birth certificates are issued by a different office and are not in this system.
  • You can only validate within one year of the date the certificate was issued.

If your certificate looks plain, that is correct

Since 1 July 2006 Delaware has printed every certificate in black ink on standard white paper, with the Secretary’s seal and signature included in the print. The old blue preprinted forms are gone. Clients regularly call us worried that a plain black-and-white certificate is a photocopy. It is not — and this is the page that proves it.
